1. Scope and provider
These Terms & Conditions ("Terms") govern your use of Foodiny, a software-as-a-service offering by Arc Nova GmbH, Wulfter Heide 5, 49082 Osnabrück, Germany, registered with the commercial register of the local court of Osnabrück under HRB 218659 ("Provider", "we"). By using Foodiny you accept these Terms.
2. The service
Foodiny is an AI-powered kitchen assistant: import recipes, organise cookbooks, plan meals, manage shopping lists and generate recipes with AI. Feature scope depends on your plan (Free, Premium, Ultimate).
3. Account and acceptance
The contract is formed when you create a free account. Paid plans are purchased through our reseller Paddle (see Section 5). You must be of legal age or have parental consent and must provide accurate information. Keep your credentials confidential.
4. Acceptable use
You must not misuse Foodiny. In particular you must not:
- use it unlawfully or for fraud, spam or harassment;
- infringe intellectual property or personal rights of third parties;
- interfere with the security or integrity of the service (malware, automated scraping, reverse engineering, circumvention of technical limits);
- resell or redistribute the service or its outputs without our consent.
5. Pricing, payment, Merchant of Record
Premium is €8/month, Ultimate €24/month. Prices include applicable taxes where shown.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Paddle handles payments, invoicing, sales-tax compliance and refunds. The Paddle Checkout Buyer Terms additionally apply.
6. Term and cancellation
Paid plans renew monthly until you cancel. You can cancel anytime from Profile → Plan or via paddle.net. On cancellation, the paid plan stays active until the end of the current billing period and the account is then automatically downgraded to Free.
7. Consumer right of withdrawal
Consumers have a statutory 14-day right of withdrawal. Details and the model withdrawal form are in our Refund & Cancellation Policy.
8. AI-generated content
- Foodiny uses AI models to generate recipes, images and similar content. Outputs may be inaccurate, incomplete or unsafe with regard to allergens. Foodiny is not a substitute for medical, dietary or nutritional advice. You are responsible for verifying ingredients, allergens, cooking and hygiene guidance.
- You are responsible for your inputs (prompts, uploads) and how you use the outputs. You warrant that you have the rights required for the inputs you provide.
- You must not generate illegal, violent, discriminatory, harmful or rights-infringing content and must not attempt to bypass safety filters.
- We may moderate content, filter AI outputs, and restrict or suspend accounts for violations.
9. Intellectual property
Foodiny, the software, trademarks and related IP remain the property of Arc Nova GmbH. We grant you a limited, non-transferable, revocable right to use the service within your plan. Your own content (e.g. recipes you enter) remains yours; you grant us the license needed to operate the service.
10. Availability
We aim for high availability but do not guarantee uninterrupted or error-free operation. Maintenance, third-party outages or force majeure may cause temporary limitations.
11. Liability
We are liable without limitation for intent, gross negligence, claims under the German Product Liability Act and for injury to life, body or health. For slight negligence we are only liable for breach of material contractual duties and limited to the foreseeable, typical damage, capped at the amount paid in the prior 12 months. We exclude liability for indirect or consequential damages, lost profits and data loss to the fullest extent permitted by law.
12. Suspension and termination
We may suspend or terminate accounts for material breach, non-payment, security or fraud risk or repeated policy violations. After termination, stored content may be deleted after a reasonable period.
13. Changes to these Terms
We may update these Terms, e.g. for legal or functional reasons, and will notify you in advance by email. Your statutory rights remain unaffected.
14. Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of your country of residence remain unaffected. Place of jurisdiction for merchants is Osnabrück, Germany.
